Terms of Service

These Terms of Service ("Terms") form a legally binding contract between you and Seholo, LLC. ("Seholo", "we", "us", "our") that govern your usage of our website and all additional services provided by Seholo ("Services"). By accessing or using our Services, you acknowledge the information and agree to be bound by all of the conditions set forth in the Terms. If you are not of legal age (often age 18) in your place of residence, you must have your parent or guardian review and accept the Terms on your behalf.

We may revise our Terms occasionally, and therefore, we encourage you to review the Terms periodically. Revisions to the Terms will never reduce your privacy; any changes to our Privacy Policy will be publicized prior to their taking effect. In the event our Terms are updated, continued use of our Services on or past the effective date of the new Terms implies your acceptance of the revisions.

Eligibility

In order to use our Services, you must (a) be of legal age (often age 18) in your place of residence or (b) have expressed consent from your parent or guardian. Additionally, complying with the Children’s Online Privacy and Protection Act ("COPPA"), if you are under the age of thirteen (13), you must have expressed consent from you parent or guardian in order to submit personally identifiable information within our Services. We treat the usage of our Services by minors as outlined in our Privacy Policy.

Privacy

We care deeply about the privacy of your personal information and the content you share through Seholo. For detailed information on what personal information we collect and how it is used and shared by Seholo, please review our Privacy Policy.

Services

Seholo is an online, paperless community service management system. Seholo allows basic users, free of cost, to (a) submit electronic volunteer forms, (b) view a history of their community service hours, (c) view upcoming volunteer opportunities and events in their area, and (d) register for volunteer positions at upcoming events. Seholo additionally allows organization administrators, using a paid subscription, to (a) approve or reject pending users’ volunteer hours, (b) view a history of users’ community services hours, (c) manage user accounts, permissions, and user groups, (d) post and administrate upcoming volunteer opportunities and events in their area, and (e) generate detailed aggregate reports on volunteering trends. All Services are provided by Seholo, LLC., a limited liability company.

Usage

You hold a personal, limited, non-transferable, non-exclusive license to access our Services solely for personal use. Seholo prohibits all commercial and/or unauthorized usage of our Services. If you own a paid Seholo account, you (a) agree not to share your login information with, or transfer your subscription access to, any other person or parties and (b) acknowledge your license remains valid for one (1) year after purchase and is scheduled by default for automatic annual renewal. You agree not to share user or admin access codes with any other person or party not authorized to receive such access codes. Additionally, you agree to only make use of access codes that have been intentionally and justly provided directly to you, and only use such access codes in order to join user and permission groups in which you legitimately belong.

You are, at all times, prohibited from (a) modifying, transmitting, publishing, participating in transfer of sale, creating derivative works, or in any way exploiting any content, resources, or tools included in our Services, in whole or in part, (b) infringing or violating the intellectual property rights or any other rights of anyone else, including Seholo, (c) violating any law or regulation, (d) interacting with other users through our Services in a harmful, fraudulent, deceptive, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable manner, (e) jeopardizing the security of your Seholo account or anyone else’s, (f) attempting, in any manner, to obtain the password, account, or other security information from any other user, (g) violating the security of any computer network, or cracking any passwords or security encryption codes, (h) running Maillist, Listserv, any form of auto-responder or "spam" on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure), (h) "crawling," "scraping," or "spidering" any page or portion of the Services (through use of manual or automated means), (i) copying or storing any significant portion of the content provided through the Services, (j) decompiling, reverse engineering, or otherwise attempting to obtain the source code of the Services, (k) sending or otherwise posting unauthorized commercial communications (such as spam) on our Services, (l) collecting users’ content or information, or otherwise accessing our Services using automated means (such as harvesting bots, robots, spiders, or scrapers), (m) providing any false personal information to our Services, or creating an account for anyone other than yourself, (n) creating more than one member profile, (o) creating another account in the case your previous account was disabled by Seholo, and (p) uploading viruses or other malicious code.

Violations of the usage restrictions above or any of the Terms may result in civil or criminal liability. Seholo will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

User Content

Seholo is not responsible for any text, images, photos or other materials and content that any user uploads to the Service ("User Content"). You are solely responsible for your User Content, and you assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Content that makes you or any third party personally identifiable. Seholo does not endorse or approve any User Content that you or other users contribute or post, and you may not state or imply that your User Content is in any way provided, sponsored or endorsed by Seholo. Seholo respects the intellectual property rights of others. You must have the legal right to upload any User Content to the Services. You may not upload or post any User Content to the Services that infringes the copyright, trademark or other intellectual property rights of a third party nor may you upload Content that violates any third party's right of privacy or right of publicity. You may upload only Content that you are permitted to upload by the owner or by law. Because you alone are responsible for your User Content (and not Seholo), you may expose yourself to liability if, for example, your User Content violates the Terms. Seholo is not obligated to backup any User Content and you are solely responsible for creating backup copies of your User Content. We will protect User Content in accordance with our Privacy Policy.

When you upload User Content to the Services, you expressly grant to Seholo a non-exclusive, perpetual, worldwide, complete, sub-licensable and irrevocable right to quote, re-post, publish, use, adapt, translate, archive, store, reproduce, modify, create derivative works from, syndicate, license, print, sublicense, distribute, transmit, broadcast, and otherwise communicate, and publicly display or perform the User Content and to provide such User Content to any other user of the Services, or any portion thereof, in any manner or form and in any medium or forum, whether now known or hereafter devised, without notice, payment or attribution of any kind to you or any third party. You grant Seholo all licenses, consents and clearances to enable Seholo to use such User Content for such purposes. You waive and agree not to assert any moral or similar rights you may have in such User Content.

The Services to which you post User Content also permit other users to access and use that User Content. Therefore, you also grant all other users of the relevant Services the right to use, copy, modify, display, perform, create derivative works from, and otherwise communicate and distribute your User Content on or through the relevant Services without further notice, attribution or compensation to you.

Seholo reserves the right (but has no obligation) to remove, block, edit, move or disable User Content that is objectionable to us for any reason. The decision to remove User Content or other Content at any time is in Seholo’s sole and final discretion. To the maximum extent permitted by applicable law, Seholo does not assume any responsibility or liability for User Content or for any failure to or delay in removing User Content or other Content. You are solely responsible for your User Content and may be held liable for User Content that you post.

We appreciate hearing from our Users and welcome your comments regarding our services and the Seholo website. Please be advised, however, that our policy does not permit us to accept or consider creative ideas, suggestions, inventions or materials other than those which we have specifically requested. While we do value your feedback on our services, please be specific in your comments regarding our services and do not submit creative ideas, inventions, suggestions, or materials. If, despite our request, you send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the "Submission"), the Submission shall be the property of the Seholo. None of the Submission shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any Submission. Seholo shall own exclusively all now known or later discovered rights to the Submission and shall be entitled to unrestricted use of the Submission for any purpose whatsoever, commercial or otherwise, without compensation to you or any other person who submitted the Submission.

Ownership

You agree that use of the Services does not constitute any basis for ownership of the Services and that Seholo owns all legal right, title, and interest in and to the Services and all information, materials, images, software, photographs, functions, text and other content solely provided by or on behalf of Seholo on the Services (collectively, "Seholo Content") is the sole property of Seholo, as between you and Seholo. The Services and all of the Seholo Content, and the selection and arrangement thereof, are protected under the copyright laws and other intellectual property laws of the United States and other countries. We reserve all rights not expressly granted herein in and to the Services and Seholo Content. Unless otherwise noted, the Seholo name and all other trademarks, service marks, trade names, logos or other designations of source displayed on the Services are the property of Seholo, its affiliates or licensors. All third party trademarks, service marks, trade names, logos or other designations of source are the property of their respective owners. Nothing on the Services shall be construed as granting any license or right not expressly set forth herein. Any unauthorized use of the Services or any of the Seholo Content will terminate the permission or license granted herein and may violate applicable law. You will not alter, adapt or otherwise modify any part of the Services or Seholo Content.

Copyright

Seholo also respects the intellectual property of others, and we ask our users, account holders and content partners to do the same. The unauthorized reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owners' rights. As a condition to your use of Seholo, you agree not to use Seholo to infringe on the intellectual property rights of others in any way. We will terminate the accounts of any Seholo account holders, and block access to Seholo from any users who are repeat infringers of the copyrights, or other intellectual property rights, of others. We reserve the right to take these actions at any time, in our sole discretion, with or without notice, and without any liability to the account holder who is terminated or to the user whose access is blocked.

Third Party Content

Seholo has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third party websites or by any third party that you interact with through the Services. In addition, Seholo will not and cannot monitor, verify, censor or edit the content of any third party site or service. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third party website or service.

Disclaimer of Warranty

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK AND THE SERVICES ARE PROVIDED "AS IS" AND AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEHOLO DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, STATUTORY OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, FUNCTIONALITY, AVAILABILITY AND NON-INFRINGEMENT, UNLESS SUCH WARRANTIES ARE LEGALLY INCAPABLE OF EXCLUSION. SEHOLO DOES NOT REPRESENT OR WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, OR FREE FROM ERROR, THAT ERRORS WILL BE CORRECTED IN A TIMELY MANNER, OR THAT YOU WILL BE ABLE TO ACCESS OR USE THE SERVICES AT TIMES OR LOCATIONS OF YOUR CHOOSING.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL SEHOLO BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO SEHOLO IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (III) ANY MATTER BEYOND OUR REASONABLE CONTROL.

Indemnity

You agree to indemnify and hold Seholo and its employees harmless from and against any and all liability, losses, claims, demands, damages, or costs of any kind, including reasonable attorneys’ fees and litigation costs, arising from (a) content you post, transmit, submit, write, email, upload, share, or otherwise make available through our Services, (b) your use of, or reliance on, our Services, (c) your electronic or other connection to the our Services, (d) your violation of the Terms, or (e) your violation of any rights of any other party.

Agreement

These Terms constitute the whole legal agreement between Seholo and you and completely replace any prior agreements between Seholo and you in relation to the Services.

Changes

Seholo updates the Services frequently. You agree that Seholo can make changes, additions, substitutions, and reductions to the Services without notice to you, and that Seholo is not liable to you for these changes.

Termination

Seholo reserves the right to stop providing the Services to you at any time for any reason without prior notice. User data will remain stored and available for download, upon request, for a minimum of thirty (30) days after termination of Services.

Notice

You agree that the company may provide you with notices, including those regarding changes to these Terms, by email, regular mail, or postings on the Services.

Waiver

The failure of Seholo to exercise or enforce any right or provision in these Terms will not be a waiver of any such right or provision. Any waiver of any provision of these Terms will be effective only if in a writing signed by Seholo.

Severability

If any part of these Terms is held invalid or unenforceable, that portion shall be interpreted in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of Seholo, and the remaining portions shall remain in full force and effect.

Governing Law

These Terms will be governed by the laws of the State of Florida without regard to its conflict of laws provisions. Seholo and you agree to submit to the exclusive jurisdiction of the courts located within the county of Manatee, Florida to resolve any legal matter arising from these Terms. Notwithstanding this, Seholo will still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

We make no claims that our Services may be lawfully viewed or accessed outside of the United States. Access to our Services may not be legal by certain people or in certain countries. If you access Seholo from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

Privacy Policy

We at Seholo, LLC. ("Seholo", "we", "us", "our") care about the privacy of your personal information and the content you share through Seholo. Our Privacy Policy describes what personal information we collect and how it is used and shared by Seholo. By accessing or using any services provided by Seholo, you acknowledge the information and consent to the procedures presented in our Privacy Policy.

We take great care in maintaining the privacy of your information, so we never share or sell your personally identifiable information to another party independent of Seholo services. Additionally, your personally identifiable information is not shared or sold to anyone using our services without your expressed consent or as otherwise explicitly outlined in this Privacy Policy.

Please note that an affiliated organization, as mentioned in our Privacy Policy, is any organization at which you have submitted volunteer hours, as well as any organization that you have knowingly permitted to view or manage your volunteer history.

Information You Provide

We collect and store any information you knowingly submit when interacting with services of Seholo, whether accessed via the web, mobile device, or otherwise. This includes, for example, but is not limited to, the registration process, submitting community service reports, and signing up for volunteer events. The only personally identifiable information we require for registration is your name and email address, used for identification within Seholo and usage of email notification features. The complete types of information we receive may include, but are not limited to, your name, email address, organization affiliation, and volunteer history. We also provide you the ability to submit optional data to our services, such as a profile picture or written feedback. We only store billing and payment information as necessary for us to provide our services to organizations.

Information Collected Automatically

When you interact with services of Seholo, we automatically store certain types of data used solely for analytics purposes and to improve your user experience. Personally identifiable information is never collected or stored by Seholo. We use Google Analytics to provide us with basic information regarding site usage, user engagement, and demographics. None of the information collected via Google Analytics contains personally identifiable information; it is completely generalized and never associated with specific users. The information simply provides us with a way to improve the user experience of our services. Additionally, we use cookies, small text files stored on your computer by your web browser, in order to directly improve your user experience. Cookies are used to keep track of user settings from session to session, and they enable features such as "Remember Me" automatic login. You can, at any time, disable cookies within your web browser; however, certain features provided by Seholo may become unavailable.

Information We Use

We may use non personally identifiable information in order to provide you with certain services at Seholo, such as volunteer event opportunities. Additionally, we may use aggregate analytics data collected automatically in order to better understand the interactions of users with our services. Such data never includes personally identifiable information, and it is only used to improve the user experience and future services provided.

Information We Share

We share your information with other Seholo users only as necessary for your use of our services. We reserve the right to make exceptions to the policies outlined below only to protect the personal safety of Seholo, its users, or any other person.

We may share your personally identifiable information with other users within your affiliated organizations to provide other users with volunteer recommendations and interaction features. At any time, you may select to disable this feature. If sharing with all users in your affiliated organizations is disabled, your personally identifiable information may still be shared with organization administrators at your affiliated organizations as necessary for the organization administrators to view and manage your volunteer history. In order to disable all sharing of personally identifiable information with a given affiliated organization, you must unlink your account from that organization. In doing so, that organization will still be able to view your volunteer history, but such history will include only your name and no other personally identifiable information.

Non personally identifiable information is shared with your affiliated organizations to provide aggregate information regarding volunteer history and trends. Such information is never linked with personally identifiable information, unless such an allowance is permitted by enabling sharing of personal information in your user account as noted above.

Your Choices

As a user, you may choose to opt out of certain sharing features. At any time, you can disable the sharing of personally identifiable information within the user base of your affiliated organizations. Additionally, you have control over what information you choose to enter on our site. For example, you can choose not to upload a profile picture. The only personally identifiable information required for usage of our services is your name and email address. Although you cannot opt out of automatic analytics, such features never collect personally identifiable information. Volunteer notifications are optional. You can opt out of email notifications at any time through your user account settings.

Children

If you are not of legal age (often age 18) in your place of residence, you may only provide personally identifiable information with the consent of your parent or guardian.

If you are under the age of thirteen (13), we are required under the Children’s Online Privacy Protection Act (COPPA) to obtain expressed consent of your parent or guardian to obtain your personally identifiable information. During registration, you must indicate you are under the age of thirteen (13), and you must indicate that you have explicitly received consent from your parent or guardian to release your personally identifiable information during usage of our services. Optionally, your affiliated organization (school, non-profit organization, etc.) can instead obtain expressed consent from your parent or guardian on your behalf. If you are under the age of thirteen (13) and providing personally identifiable information without the expressed consent of your parent or guardian, you must immediately stop using our services and delete your account. If you are aware of someone under the age of thirteen (13) that has provided personally identifiable information without the expressed consent of his or her parent or guardian, please immediately notify us at support@seholo.com.

Security

We are committed to the security of your personally identifiable information. We follow several industry-standard security practices to protect the data we collect through services of Seholo. Additionally, we use multi-step authorization coding practices to verify user identity and permissions, and our infrastructure is rigorously tested for security holes. No information is ever stored on employee computers or devices, so no information will be compromised in the event of theft. While we use all possible efforts to protect your information, we cannot guarantee its absolute security. For example, although all user passwords are encrypted and stored in our systems as non-reversible salted hashes, users are still responsible for protecting their accounts against unauthorized access by selecting reasonably complex, secure passwords, not sharing password information, and logging out of their account whenever finished using our services.

Changes

We may revise our Privacy Policy occasionally. In such an event, we will make the updated Privacy Policy available for viewing by all users of Seholo a minimum of fourteen (14) calendar days prior to the new Privacy Policy taking effect. Upon the effective date of the new Privacy Privacy, continued use of our services will indicate your acknowledgement and consent to the procedures presented in the new Privacy Policy. Pending changes to our Privacy Policy will be announced via our website and sent as a notification to all email addresses of active users.
